Official Rules and Regulations
NO PURCHASE NECESSARY. Making a purchase will not improve one’s chances of winning. Many will enter. Few will win. THIS SWEEPSTAKES CONTAINS A BINDING ARBITRATION CLAUSE.
SPONSOR. ProSource Wholesale; 4301 Earth City Expressway; St. Louis, Missouri 63045 ("Sponsor").
ADMINISTRATOR. Leading Edge Marketing, Inc.; 4301 Earth City Expressway; St. Louis, Missouri 63045 ("Administrator").
ELIGIBILITY. Sweepstakes is limited to trade pros who are members of a ProSource Wholesale showroom and who are legal residents of the fifty (50) United States and District of Columbia and are eighteen (18) years of age or older at the time of entry. Only one entry per trade pro member. Sponsor, Administrator, their respective parent companies, subsidiaries, affiliates, employees, contractors, and advertising/promotional agencies, and the immediate families and household members of each of the above, are not eligible to enter or win. Subject to all applicable Federal, state, and local laws. By entering this sweepstakes, you agree to be bound by these Official Rules. Void where prohibited.
SWEEPSTAKES PERIOD. The sweepstakes begins at 08:00 am Central Time on December 27, 2023 and ends at 11:59 pm Central Time on January 5, 2024 (the "Sweepstakes Period").
HOW TO ENTER. You must complete the emailed survey, filling in all required fields, to submit your chance to win and submit the survey to Sponsor before the end of the Sweepstakes Period. Upon completion and submission of the survey, you will automatically be entered for your chance to win.
DRAWING. Winners will be chosen by a random drawing to be held on January 9, 2024 at the Administrator's corporate headquarters in St. Louis, Missouri and conducted by Administrator. Winners will be notified by telephone and in writing. If a potential winner cannot be reached after a reasonable effort has been made 7 business days from the first notification attempt, the person will be disqualified, with an alternate selected. Prize winners will be required to execute an Affidavit of Eligibility and Release, which must be completed and returned within 5 days of written notification. Prize is not transferable or assignable. All applicable federal, state, provincial and local taxes (excluding sales tax) are the responsibility of the winner. Acceptance of prize constitutes permission to use winners’ name and likeness for publicity purposes and without additional compensation. Once the confirmed winner accepts the prize, they will be emailed information pertaining to the prize. No assignment, transfer or substitution of prize is permitted, except by the Sponsor and Administrator who may substitute a prize of equal or greater value. Limit one (1) prize per person or household.
PRIZES. Ten (10) winners will each be awarded Visa gift cards with an approximate retail value of $100. Amounts are in U.S. Dollars. Any entries received from any person/address/email address in excess of the limit stated will void the excess entries for that person/address/email address. No other method of entry or participation is valid. Sponsor’s computer is the official timekeeping device for entries submitted.
ODDS. The odds of winning are dependent upon the total number of entries received.
GENERAL RULES. All entries and prize claims become the property of Sponsor and will not be returned. Released Parties (as defined below) assume no responsibility for lost, late, stolen, delayed, damaged, misdirected, undelivered, illegible, incomplete or postage-due entries, prize claims or mail. Except where prohibited, by accepting a prize, winners consent to the use by Sponsor and its designees of their names and/or photographs for advertising and publicity purposes in any and all media now or hereafter known throughout the world in perpetuity without limitation and without additional compensation, notification or permission. By participating in this promotion, each entrant accepts and agrees (i) to be bound by these Official Rules and the decisions of the Administrator, which shall be final and binding in all respects, and (ii) to release Sponsor, Administrator and their respective parents, subsidiaries, affiliates and advertising and promotion agencies, and the respective directors, officers, employees and agencies of the foregoing (collectively, the "Released Parties") from any and all liability of any injuries, losses or damages of any kind caused by participating in this promotion or resulting from acceptance, or use/misuse of the prize. Entries generated by script, macro, or other automated means will be void. You will not post, advertise or otherwise promote this sweepstakes on any online website, page, or forum dedicated primarily to the exchange of information about sweepstakes or contests or participate in any commercial contest/Promotion subscription notification and/or entering services – any such entries will void your Entries and you may be disqualified. Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the promotion or website, violates the Official Rules, or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION THE CONTEST RULES AND OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Released Parties are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or utilized in this promotion which may limit the ability to participate or by any human error which may occur in the processing of entries in this promotion. Sponsor reserves the right to modify, terminate, or suspend the online entry should virus, bugs, non-authorized human intervention, or other causes corrupt the administration, security, fairness, or proper play of the promotion. These contest rules constitute the full agreement relating to the promotion. In the event of any conflict between these rules and any of the documents relating to the promotion, these rules shall prevail.
For Canadian residents only: to claim a prize, Canadian residents must first correctly answer, without assistance of any kind, a mathematical skill-testing question at a mutually agreed upon time. The question must be answered correctly within a predetermined amount of time. In the event that it is not answered correctly, the selected person will be disqualified and an alternate will be selected.
DISPUTES. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant or Sweepstakes Entities in connection with the Sweepstakes, or any claim or dispute that has arisen or may arise between you and the Sweepstakes Entities, shall be governed by, and construed in accordance with, the laws of the State of Missouri without giving effect to any choice of law or conflict of law rules. By participating in this Sweepstakes, each entrant agrees that: (i) Any claim, dispute, or controversy (whether in contract, tort, or otherwise) arising out of, relating to, or connected in any way with the Sweepstakes or the awarding or redemption of prizes will be resolved exclusively by final and binding arbitration conducted pursuant to the AAA's Procedures for Consumer-Related Disputes in conjunction with the AAA's Commercial Arbitration Rules (if and as applicable depending on the amount in controversy); (ii) This arbitration agreement is made pursuant to a transaction governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. §§ 1-16; (iii) The arbitration shall be held at the AAA regional office nearest the entrant; (iv) The arbitrator's decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable entrant may have entered into in connection with the Sweepstakes; (v) The arbitrator shall apply Missouri law consistent with the FAA and applicable statutes of limitations and shall honor claims of privilege recognized at law; (vi) There shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only the entrant's and/or Sponsors individual claims and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (vii) The arbitrator shall not have the power to award punitive damages against any party; (viii) In the event that the administrative fees and deposits the entrant is required to pay under the AAA rules exceed $125, and the entrant is unable to pay the additional fees and deposits, Sponsors retains the right to forward them to the AAA on the entrant's behalf, subject to ultimate allocation by the arbitrator. In addition, if the entrant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, the Sweepstakes Entities retain the right to pay as much of the entrant filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (ix) If any part of this Arbitration Provision is deemed to be invalid or otherwise unenforceable or illegal, the balance of this Arbitration Provision shall remain in effect and shall be construed in accordance with its terms as if the invalid or illegal provision were not contained herein.
WINNERS LIST REQUEST. Winner information will be available at the end of the sweepstakes. For a copy of the winners list, send a self-addressed, stamped envelope referencing “ProSource Wholesale Member Survey Response Winners" c/o ProSource Wholesale ATTN: Marketing Department, 4301 Earth City Expressway, Earth City, MO 63045. Residents of Washington and Vermont may omit return postage.
PRIVACY. If you are verified as a prize winner, your first name, last initial, city and state may be included in a publicly available winner’s list.
GRANT AND RELEASE. All entries and prize claims become the property of sponsor and will not be returned to you. By participating in this promotion, you are granting to sponsor and administrator and their designees the right to (1) publicize your name, city and state of residence, prize information, photograph, voice, statements, and/or other likeness; and/or (2) edit, modify, post, re-post, publish, or otherwise use photographs, videos, testimonials, posts, statements or other information submitted by you as part of this promotion, all for advertising, promotional, trade, and any other purpose, in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission or notification, unless prohibited by law. You (on behalf of yourself and your heirs, successors and assigns) waive all rights and now and forever release and discharge sponsor, administrator and the released parties and shall neither sue nor bring any proceeding against, any such parties, for any claim or cause of action, whether now known or unknown, for defamation, invasion of right to privacy, publicity or personality or any similar matter, claim, demand, loss, expense, damage, liability, action, or causes of action of any nature or in any way based upon or relating to your participation in this promotion or the exercise by sponsor and/or administrator and/or their designees of the rights you have granted to them hereunder.
